Pervasip Corp. Company, a provider of wholesale VoIP and smartphone applications, has announced about signing of “letter of intent” on acquisition of Infiniti Systems Group, an information technology services company. Infiniti is a prominent and award winning company with concentrated business effort on providing businesses of information security matters, dedicated information flaw services, custom software applications and IT staffing.
Pervasip's Chief Executive Officer, Paul Riss noted in his official statement about Infiniti’s unmatchable accumulated experience in IT solutions to corporate clients since 1994 and reached level of client retention rate as at 90%, as well as Infinity’s generated positive cash flow and boasted annual revenues in excess of $3 million."

"Pervasip is well positioned to capitalize on the mobile Internet revolution and I am eager to become part of the Pervasip organization," said John Bianco, President of Infiniti. "The mobile VoIP apps developed by Pervasip are extraordinary and I believe the company has a significant advantage over many of its competitors. By combining our resources, I believe both companies will benefit."

The provisional letter of intent, created by new partners consists with both binding and non-binding clauses. The parties are focusing to finalize a definitive purchase agreement, and the closing is subject to various conditions, including the completion of an audit by an independent registered public accounting firm.

Facts about partners: Pervasip Corp. via its wholly owned subsidiary, VoX Communications, provides wholesale VoIP telephony solutions for the residential and small business markets in continental US. VoX offers a private-label digital voice programs offered, in turn, to cable operators, cell phone carriers, WiMax carriers, CLECs, ISPs and authorized retailers. VoX recently started the mobile VoIP services and applications business, which is foreseen to reach level of 300 million users by 2013.
